The legal agreement that governs your access to and use of VOIP2 services.
These Terms & Conditions ("Terms") form a binding legal agreement between you ("Customer", "you") and VOIP2 Ltd ("VOIP2", "we", "us"), a company registered in England and Wales, with its registered office at 60 Copthorne Avenue, Ilford, Greater London, IG6 2SQ, United Kingdom.
By creating an account, accessing our website, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.
To use the Services you must be at least 18 years old and have legal capacity to enter into binding contracts. Where you act on behalf of a company, you warrant that you are authorised to bind that company.
Account information must be accurate, current and complete. You are responsible for safeguarding your credentials and for any activity that occurs under your account.
VOIP2 provides global telecommunications services in 140+ countries, including but not limited to:

You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy. You must not, directly or indirectly:
Many countries require Know-Your-Customer ("KYC") information — including identity, address and business documentation — before phone numbers may be activated or used. You agree to:
VOIP2 may suspend or revoke Numbers if KYC requirements are not satisfied or if your use is reported as non-compliant by an underlying carrier or regulator.
Charges are payable in advance for fixed components (such as monthly number rental and channel fees) and in arrears for usage-based components (such as call minutes and SMS).
Unless otherwise stated, fees are quoted in GBP (£) and exclude VAT and other applicable taxes, which will be added at the prevailing rate.
Invoices are payable within 14 days of issue (or as agreed in your Order). Late payments accrue interest at 4% over the Bank of England base rate. We may suspend Services for accounts more than 30 days overdue.
Billing disputes must be raised in writing within 30 days of the invoice date. Undisputed amounts remain payable.
VOIP2 targets 99.99% monthly availability for production services. Service credits, maintenance windows and exclusions are set out in the SLA available on request or as part of an Enterprise agreement.
Planned maintenance will be communicated at least 7 days in advance where reasonably possible. Emergency maintenance may be performed without notice.
Phone numbers remain the property of the underlying carrier or numbering authority. Numbers are licensed to you for use during the term of your subscription and remain subject to local regulations regarding allocation, retention and porting.
Inbound and outbound porting may be supported in selected countries; lead times and charges are quoted on request. Numbers may be reclaimed if your account is terminated, suspended for non-compliance, or remains unpaid.
Our processing of personal data is governed by our Privacy Policy. Where you act as a data controller and we process personal data on your behalf as a processor, the data-processing terms in our DPA (available on request) apply.
All intellectual property rights in the Services, our website, software, APIs, documentation and trademarks remain the sole property of VOIP2 or its licensors. You receive a non-exclusive, non-transferable, revocable licence to use the Services solely for your business operations during the term.
You may not copy, reverse-engineer, modify, sublicense or create derivative works from any part of the Services without our prior written consent.
Each party agrees to keep confidential any non-public business or technical information disclosed by the other party and to use it only for the purposes of this agreement. Confidentiality obligations survive for 3 years after termination.
VOIP2 warrants that the Services will be provided with reasonable skill and care. Except as expressly stated, the Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.
VoIP services rely on the public Internet and third-party networks. We do not warrant uninterrupted call completion to all destinations or guarantee compatibility with every emergency-services framework. Customers must arrange independent emergency-call provisions where required by local law.
Subject to mandatory law, VOIP2's total aggregate liability arising under or in connection with these Terms in any 12-month period shall not exceed the fees paid by the Customer to VOIP2 in the preceding three (3) months.
In no event shall either party be liable for indirect, incidental, special or consequential losses, including loss of profits, revenues, goodwill, anticipated savings, business or data, even if advised of the possibility.
Nothing in these Terms limits liability for death, personal injury caused by negligence, fraud, or any liability that cannot be limited under English law.
You agree to indemnify and hold harmless VOIP2, its directors, employees and affiliates from any claims, damages and costs (including reasonable legal fees) arising from (a) your breach of these Terms or the AUP, (b) your use of the Services in violation of law, or (c) any content you transmit through the Services.
VOIP2 may suspend or terminate your access immediately if (a) you breach these Terms or the AUP, (b) you fail to pay due amounts, (c) we are required to do so by a regulator or law enforcement, or (d) we reasonably suspect fraud or risk to our network.
Either party may terminate for convenience with 30 days' written notice unless a longer term is specified in your Order. On termination, all outstanding amounts become immediately payable and your access to Customer Data shall be available for export for 30 days.
Neither party shall be liable for delay or non-performance caused by circumstances beyond its reasonable control, including acts of God, government action, war, terrorism, pandemic, strikes, telecommunications failures or major Internet outages.
We may update these Terms from time to time. Material changes will be notified at least 30 days in advance via email or in the customer portal. Continued use of the Services after the effective date constitutes acceptance.
These Terms are governed by the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes, except that VOIP2 may bring proceedings to enforce intellectual-property rights in any jurisdiction.
Before commencing court proceedings, the parties shall attempt to resolve disputes in good faith for at least 30 days through senior-level discussions.
